Terms of sale
These terms apply to every service sold by J-Square to a business customer: websites, voice agents, automations and consulting. They are provided with each quote; signing the quote means accepting them. The French version prevails.
1. Quote and order
Every service is described in a detailed quote, valid for fifteen days. The order is firm once the quote is signed and the deposit paid. Any request outside the quote is subject to a further quote.
2. Prices and payment
Prices are in euros. VAT not applicable, article 293 B of the French General Tax Code.
Fixed-price services (websites, set-up): 50 % deposit on order, balance on delivery. Invoices are payable on receipt.
Late payments bear interest at three times the French legal rate, plus the fixed recovery fee of €40 provided by article L441-10 of the French Commercial Code.
3. Subscription (voice agents, automations)
Voice agents and automations are provided as a monthly subscription, with no minimum term, cancellable in writing with one month’s notice. The subscription is payable monthly in advance.
It includes hosting, monitoring, fixes and the cost of the third-party services required (telephony, AI minutes, hosting) within the usage limit stated in the quote. Usage beyond that limit is billed at cost, at the rate stated in the quote.
When the subscription ends, the agent or scenario is switched off; the customer’s data is returned on request in a readable format.
4. Lead times
Lead times run from receipt of the deposit and of everything owed by the customer (texts, access, media, information).
The seventy-two-hour lead time stated on the website applies to the delivery of the online mock-up, on a private address, after the scoping call. The delivery time of the complete website or service is set in the quote and depends on the customer’s approvals.
5. Customer obligations
The customer provides the required content and access within the agreed time, warrants that it holds the rights to what it supplies, and approves each step within a reasonable time. Approval is deemed given after ten days without reply.
6. Intellectual property
Websites: once paid in full, J-Square assigns to the customer the rights to use the delivered website (code, created content, generated media), for any duration and territory. J-Square’s reusable tools, libraries and know-how remain its property.
Voice agents and automations: the customer receives a non-exclusive, non-transferable licence to use them for the duration of the subscription. Scenarios, prompts and configurations remain the property of J-Square.
Unless the customer objects in writing, J-Square may show and mention the work in its portfolio, demos and communications.
7. Third-party services
Services rely on third parties (host, telephony carriers, AI model providers, calendar tools). Their terms apply to the customer. J-Square is not liable for outages or changes attributable to them, but undertakes to propose a replacement within a reasonable time.
8. Liability
J-Square is bound by a best-efforts obligation. Its liability is capped at the amount actually paid by the customer for the service concerned over the previous twelve months. It excludes indirect losses (loss of revenue, of customers, of data caused by the customer).
A voice agent is not an emergency service and does not guarantee that every call is handled; it is not intended for situations of danger.
9. Personal data
Customer data is processed under the site’s privacy policy. For end-customer data handled by agents and automations, J-Square acts as a processor under article 28 GDPR; a data processing agreement is available on request.
10. Termination
In case of a serious breach not remedied fifteen days after written notice, either party may terminate the service. Amounts due for work performed remain payable.
11. Governing law
These terms are governed by French law. Any dispute falls under the Paris Commercial Court, after an attempt at amicable settlement.
